Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between Avit Tech, LLC, a Delaware limited liability company doing business as Easy Space (“Easy Space,” “we,” “us,” or “our”), and the business or professional that accesses or uses the Easy Space platform (the “Customer,” “you,” or “your”). The Easy Space platform, websites, applications, and related services are the “Service.”

By creating an account, starting a trial, clicking to accept, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Business use and authority

The Service is intended for business and professional use and is not intended for personal, family, or household purposes. You represent that you are using the Service in a commercial capacity as a coworking-space operator or similar professional.

If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity. If you lack that authority, you may not accept these Terms or use the Service on its behalf.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement.

2. The Service

Easy Space provides software for coworking and flexible-workspace operators, including tools for bookings, memberships, member records, payments, invoices, and related operations. Easy Space is a software provider. We do not operate your workspace, host your members, or enter into contracts with your members on your behalf.

Easy Space is not a party to any agreement between Customer and Customer’s members, guests, employees, contractors, or other users.

3. Customer’s operation of the workspace

Customer remains solely responsible for operating its coworking space and for all decisions and obligations arising from that business, including:

  • prices, fees, discounts, taxes, and billing rules charged to members;
  • membership agreements and policies with members;
  • refunds, credits, and disputes with Customer’s own members;
  • resource availability and accepting or rejecting bookings;
  • compliance with local laws and regulations;
  • health, safety, and physical access to the premises;
  • disputes between the coworking space and its members or guests;
  • accuracy of information entered into Easy Space; and
  • business decisions made using Easy Space reports, analytics, or other output.

4. Accounts

You must provide accurate account information and keep credentials confidential. You are responsible for activity under your account and for staff or other users you invite. Notify us promptly of unauthorized use.

5. Customer Data

“Customer Data” means information Customer or its users submit to the Service about Customer’s business, members, guests, bookings, memberships, invoices, payments, resources, and similar records.

As between the parties, Customer owns and controls Customer Data. Customer grants Easy Space a non-exclusive, worldwide license to host, process, transmit, and otherwise use Customer Data solely as needed to provide, maintain, secure, and improve the Service, to prevent fraud and abuse, and to comply with law.

Customer represents and warrants that it has all rights, notices, and consents required to upload and process Customer Data (including personal information of members and guests), that Customer Data is accurate to the best of Customer’s knowledge, and that Customer will not upload unlawful content. Customer is responsible for obtaining any notices or consents from members and other individuals where required.

Although Easy Space uses reasonable measures designed to protect data, Customer is responsible for maintaining copies of information it requires for its business. Easy Space does not guarantee that Customer Data will never be lost, corrupted, unavailable, leaked, or accessed without authorization. Exports or backups we may offer do not create a warranty that data will be preserved.

6. Fees, renewal, cancellation, and refunds

Paid features are billed according to the plan and interval you select (for example monthly or yearly) as shown at checkout or on our pricing page. Unless we state otherwise in writing, subscriptions renew automatically at the then-current rate until you cancel.

You may cancel at any time. Cancellation takes effect at the end of the then-current paid period. You will retain access until that period ends. We may suspend or terminate access if payment fails, a charge is reversed, or amounts remain unpaid.

Except as required by law or as we expressly agree in writing, all fees are non-refundable. We do not prorate unused time, unused features, or remaining days in a billing period. Starting, ending, or converting a trial, upgrading, or changing plans does not create a right to a refund of amounts already paid.

Customer is responsible for taxes, duties, and similar charges associated with its purchase, other than taxes on Easy Space’s income. Fees are exclusive of such taxes unless stated otherwise.

7. Trials

We may offer a free or paid trial. Trial length, features, and whether a payment method is required are described at signup or in the product. If you subscribe or upgrade during a trial, billing may begin immediately as shown at checkout. We may modify or end trials at any time.

8. Third-party services

The Service may integrate with or depend on third-party products, including payment processors, accounting tools, automation platforms, email providers, analytics, and similar services (for example Stripe, PayPal, Wise, Xero, or Zapier).

Third-party services are governed by the third party’s own terms. Easy Space does not control and is not responsible for third-party services, including their availability, security, functionality, pricing, acts, or omissions. Without limiting the foregoing, Easy Space is not responsible for processor or bank outages, frozen or terminated third-party accounts, payment failures, chargebacks, processor fees, API changes, integration failures, or third-party security incidents.

9. Changes to the Service; no SLA; maintenance; beta

Easy Space may modify, add, discontinue, or change features of the Service. Unless we agree otherwise in a signed writing, Easy Space makes no specific uptime, support, or response-time commitment (no service level agreement).

Scheduled or emergency maintenance, updates, or infrastructure events may cause temporary unavailability. Experimental or beta features are provided without warranties and may be changed or discontinued at any time.

10. Intellectual property and feedback

Easy Space and its licensors own the Service, including software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your subscription solely for Customer’s internal business operations, subject to these Terms.

You may not copy, modify, reverse engineer, resell, or misuse the Service, or use it to build a competing product, except to the extent applicable law prohibits this restriction.

If you provide suggestions or other feedback, Easy Space may use it without restriction or compensation.

11. Customer branding

You grant Easy Space a non-exclusive, worldwide, royalty-free license to use your name, logo, and branding solely to identify you as a customer of the Service, including on our website and marketing materials. You may withdraw this permission by contacting us, and we will stop new uses within a reasonable time.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EASY SPACE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Easy Space does not warrant that: the Service will meet every Customer’s requirements; reports, data, or calculations will always be accurate; operation will be uninterrupted or error-free; every defect will be corrected; integrations will continue working; data will never be lost, corrupted, leaked, or accessed without authorization; or the Service will be compatible with future third-party changes.

13. Security incidents and data issues

To the maximum extent permitted by applicable law, Easy Space is not liable for unauthorized access, disclosure, alteration, loss, or unavailability of data (including Customer Data), security incidents, cyberattacks, or similar events, whether involving Easy Space, Customer, members, or third parties.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASY SPACE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR LOST PROFITS OR REVENUE, LOST BUSINESS OPPORTUNITIES, BUSINESS INTERRUPTION, LOSS OR CORRUPTION OF DATA, LOSS OF GOODWILL, COST OF SUBSTITUTE SERVICES, OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EASY SPACE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO EASY SPACE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF NO FEES WERE PAID, EASY SPACE’S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

These limits apply to all theories of liability (contract, tort, negligence, strict liability, or otherwise) and are an essential basis of the bargain.

15. Indemnification

Customer will defend, indemnify, and hold harmless Easy Space and its affiliates, officers, directors, employees, and agents from and against third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: Customer Data; Customer’s members, guests, employees, contractors, or other users; Customer’s operation of its workspace; Customer’s products or services; violations of law by Customer; infringement caused by Customer-provided content; failure to obtain required privacy notices or consents; disputes over payments, bookings, memberships, or refunds between Customer and its members; or Customer’s breach of these Terms.

16. Force majeure

Easy Space is not liable for delay or failure to perform due to events beyond its reasonable control, including cloud or internet outages, third-party service failures, government actions, natural disasters, power failures, cyberattacks, labor disputes, or similar events.

17. Suspension, termination, and deletion of data

We may suspend or terminate access immediately if you breach these Terms, fail to pay, misuse the Service, or if we reasonably believe continued use creates legal, security, or operational risk. You may stop using the Service and cancel as described in Section 6.

After termination or expiration, we may delete Customer Data after a commercially reasonable period (typically up to 30 days, unless we retain copies longer as required by law, for backups, fraud prevention, dispute resolution, or accounting). Export Customer Data before access ends if you need a copy.

18. Assignment

You may not assign these Terms without our prior written consent. Easy Space may assign these Terms in connection with a restructuring, merger, sale of assets, or similar transaction.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Subject to any non-waivable rights that applicable law may confer, the state and federal courts located in the State of Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT INDIVIDUALLY AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

20. Survival

Sections concerning fees already due, Customer Data licenses needed to wind down the Service, intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, and this survival clause survive termination.

21. General

These Terms and the Privacy Policy are the entire agreement between you and Easy Space regarding the Service and supersede prior discussions on that subject. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. We may update these Terms by posting a revised version on the Service or by email. Continued use after the effective date constitutes acceptance. Headings are for convenience only.
